CONSTITUTION OF THE SOCIETY
  1. NAME
    The name of the club shall be the "NEW CITY PHOTOGRAPHIC SOCIETY".
  2. OBJECTS
    The object of the club shall be to foster and promote the art and science of photography by instruction and example.
  3. MEMBERSHIP
    1. Membership is open to all persons over 16 years of age, who are interested in photography.
    2. Application for membership shall be made by completing the Club application form and returning it to the secretary. Membership is at all times at the discretion of the committee.
    3. A copy of the constitution shall be made available to every member on joining and thereafter when amendments are made. A copy of the rules of the club shall also be made available.
    4. Any member of the club, who in the opinion of the committee is guilty of bringing the club into contempt or disrepute by reason of their actions, or is in open breach of the constitution and rules shall be asked to explain themselves to the committee, and dependant on the explanation received, such members shall be liable to be reprimanded, suspended or expelled. The decision of the committee is final.
  4. OFFICERS OF THE CLUB
    The officers of the club shall be the Chairman, the Secretary and the Treasurer, all of whom shall be members of the club and shall be elected at a General Meeting.
  5. FINANCES
    1. The financial year of the club shall be similar to the normal accounting year. An annual income and expenditure statement shall be prepared within six weeks of the end of the financial year, such accounts shall be subject to the scrutiny of an auditor before being presented to the AGM. The auditor of the clubs accounts shall not be a Club member and shall be appointed by the Committee.
    2. The Treasurer shall on behalf of the club have the authority to collect and disburse monies, to operate a bank account, and to maintain the account of the club finances in good order.
    3. The Treasurer shall, with the counter signature of another of the club officers, be authorised to instruct the bank to pay monies by means of a cheque or similar authority, up to a maximum limit determined at the AGM. Any higher payments must go before the committee as a whole for discussion.
    4. Each member shall pay to the Treasurer, or person nominated by the treasurer, such payments as they become due according to the constitution and rules in force at the time the payment becomes due.
  6. ANNUAL GENERAL MEETING
    1. The annual general meeting of the club shall be held in the second month, following the end of the clubs financial year, when the reports of the officers shall be presented. There must be at least 40% of the paid up membership present to constitute a quorum and all voting shall be carried by a simple majority.
    2. The positions of Club Officers and other committee members will all be subject to election. Nominations for these positions shall be proposed and seconded in writing, and nominees shall sign the nomination to indicate a willingness to stand. Nominations are to be in the possession of the secretary prior to the commencement of the AGM, but nominations may be accepted at the AGM with the agreement of the members present.
    3. The rate of membership subscriptions for the following year shall be determined.
    4. The AGM shall empower the committee to affiliate the club to any related organisation, and to authorise the payment of such fees as may be required.
  7. Extra-Ordinary general meeting
    1. An extra-ordinary general meeting may be called at any time at the discretion of the committee, or by any number of members, exceeding one quarter of the paid up membership, requesting the Secretary to call such a meeting. Notice of such a meeting must be given in writing at least seven days in advance. There must be at least 40% of the paid up membership present to constitute a quorum and all voting shall be carried by a simple majority.
    2. If more than 60% of the membership request an ordinary general meeting for a vote of no confidence in the club committee and that vote is carried then the committee must resign and a new committee be elected. The old committee members may stand for re-election.
  8. MEMBERS OF THE COMMITTEE
    1. The committee shall consist of the officers of the club, and no more than four more additional members, who shall be elected at a general meeting. Each officer and committee member shall resign annually but shall be eligible for re-election.
    2. The committee shall have the power to co-opt not more than two additional members during any one financial year.
    3. The function of the committee shall be to organise the running of the Club and its programme. It shall appoint club members, as deemed appropriate at the time, to non-committee positions to facilitate this.
    4. The committee shall have the power to appoint sub-committees, and to delegate to such sub-committee any or all of it's powers and shall be able to continue with such sub-committees until the next AGM. Each sub- committee shall be chaired by a full committee member.
    5. The committee shall meet as and when necessary, but in any case shall meet once every three months.
    6. At least three committee members, two of which must be officers of the club, are required to be present for the committee meeting to be quorate, and any voting shall be done on a simple majority basis.
  9. RULES OF THE CLUB
    The committee shall from time to time make rules for the running of the club's business and programme. Such rules shall be governed by this constitution.
  10. Alterations to the constitution
    No alteration to this constitution shall be made except at an annual general meeting or at an ordinary general meeting. Intention of any such change shall be notified to members in writing at least seven days in advance. Any such alterations require the approval of two thirds of the membership at a general meeting.
  11. Dissolution
    The club shall only be dissolved by a resolution passed by a majority of at least two thirds of the members present and voting at a general meeting called for the purpose of considering such a dissolution. In the event of a dissolution any balance of cash remaining in hand after realisation of assets and payment of debts, shall not be distributed amongst members, but shall be applied for such charitable purposes similar to those of the objects of the club, or shall be paid, distributed or transferred to such charitable institution having objects similar to the objects of the club, as the committee with the consent of the meeting shall determine.
